Agreement to Terms

Welcome to Alpline. These Terms of Service (“Terms”) govern your access to and use of the Alpline mobile application, website, and related services (collectively, the “Service”). By downloading, installing, or using Alpline, you agree to be bound by these Terms.

PLEASE READ THESE TERMS CAREFULLY BEFORE USING SKIMATE. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.

These Terms constitute a legally binding agreement between you and EXPOMATRIX PROPERTIES LIMITED (“Alpline,” “we,” “us,” or “our”), a company registered in England and Wales under Company Number 15639549, with its registered office at 23 Tiggall Close, Reading, RG6 7ES, United Kingdom.

1. Acceptance and Eligibility

1.1 Age Requirements

You must be at least 13 years of age to use Alpline. If you are between 13 and 18 years of age (or the age of legal majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

Users under 18 should use Alpline under parental supervision. Parents are responsible for monitoring their children's use of the Service.

1.2 Account Registration

To access certain features, you must create an account by providing:

  • A valid email address
  • A secure password
  • Your name (or username)
  • Your skiing ability level

You agree to provide accurate and complete information, keep your account information current, maintain the confidentiality of your password, be responsible for all activity under your account, and notify us immediately of unauthorized access.

1.3 Account Security

You are solely responsible for protecting your account credentials, all activities that occur under your account, logging out from shared or public devices, and enabling two-factor authentication (recommended).

We are not liable for losses resulting from unauthorized use of your account if you fail to maintain security.

1.4 Geographic Availability

Alpline is available in supported ski resorts worldwide. Some features may be limited based on geographic location, local regulations, resort partnerships, network connectivity, or available mapping data.

2. License and Service Access

2.1 License Grant

Subject to your compliance with these Terms, Alpline grants you a limited, non-exclusive, non-transferable, revocable license to:

  • Download and install the Alpline mobile application on devices you own or control
  • Access and use the Service for personal, non-commercial purposes
  • Create, store, and share content through the Service

This license does not grant you any rights to resell or redistribute the Service, create derivative works, reverse engineer the software, remove proprietary notices, or use the Service for commercial purposes without authorization.

2.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any feature at any time, update the application and require updates for continued use, change availability of certain features or services, impose limits on features or services, and restrict access to parts of the Service.

We will provide notice of material changes when feasible, but are not obligated to do so.

2.3 Free and Premium Features

Free Features Include: Basic GPS navigation, performance tracking, map viewing, friend connections, location sharing (limited).

Premium Features May Include: Advanced route planning, unlimited location sharing, detailed analytics, priority customer support, advanced safety features, additional resort integrations.

Premium features require a paid subscription, subject to the Payment Terms in Section 8.

2.4 Beta Features

We may offer beta or experimental features that are clearly marked, may have limited functionality or bugs, are subject to change or removal without notice, may require separate consent, and are used at your own risk.

3. Acceptable Use Policy

3.1 Permitted Uses

You may use Alpline to navigate ski resorts safely, track your skiing performance, connect with friends and family, share your location with chosen contacts, access resort information and services, participate in social features and leaderboards, and export your personal activity data.

3.2 Prohibited Uses

You agree NOT to:

Technical Violations:

  • Attempt to gain unauthorized access to the Service or systems
  • Use automated tools (bots, scrapers) without authorization
  • Interfere with or disrupt the Service
  • Reverse engineer, decompile, or disassemble the software
  • Circumvent security measures or access controls
  • Overload or attempt to overload our infrastructure

Content Violations:

  • Upload malicious code, viruses, or harmful software
  • Post false, inaccurate, or misleading information
  • Impersonate others or misrepresent your identity
  • Violate intellectual property rights
  • Post inappropriate, offensive, or illegal content
  • Share copyrighted material without permission

Behavioral Violations:

  • Harass, threaten, or abuse other users
  • Stalk or invade others' privacy
  • Engage in spam or unsolicited promotions
  • Use the Service for illegal activities
  • Violate ski resort rules or regulations
  • Endanger yourself or others through reckless behavior
  • Create fake accounts or manipulate leaderboards

Commercial Violations:

  • Use the Service for unauthorized commercial purposes
  • Resell access to the Service
  • Use data scraped from the Service commercially
  • Frame or mirror any part of the Service

3.3 Content Standards

All user-generated content must be accurate to the best of your knowledge, comply with applicable laws and regulations, respect the rights of others, be appropriate for a diverse audience, and not contain personal information of others without consent.

3.4 Enforcement

Violation of these Terms may result in warning or notice, content removal, account suspension or termination, loss of access to premium features, legal action if necessary, or reporting to law enforcement.

We reserve the right to investigate violations and cooperate with law enforcement.

4. User-Generated Content

4.1 Your Content

You retain ownership of content you create and share through Alpline, including profile information and photos, snow condition reports and reviews, comments and social posts, uploaded photos and videos, and route and trip information.

4.2 License to Alpline

By posting content, you grant Alpline a worldwide, non-exclusive, royalty-free, transferable license to use, display, and distribute your content within the Service, modify and adapt content for technical requirements, create derivative works for Service improvement, sublicense to service providers necessary for operation, and display content to other users as permitted by your privacy settings.

This license continues even after you delete content or terminate your account for content that has been shared or integrated into the Service, but we will honor deletion requests for standalone content.

4.3 Content Responsibility

You are solely responsible for content you post or share, ensuring you have necessary rights to content, accuracy of information you provide, compliance with applicable laws, and consequences of sharing content publicly or with friends.

4.4 Content Removal

We reserve the right to remove or modify content that violates these Terms, remove content for legal or safety reasons, moderate user-generated content, and refuse to post or distribute content. We are not obligated to monitor content but may do so.

4.5 Prohibited Content

You may not post content that is illegal, harmful, or dangerous, infringes intellectual property rights, contains malware or harmful code, violates privacy or publicity rights, is sexually explicit or pornographic, promotes violence or discrimination, contains false or misleading information that could endanger others, includes personal information of minors without consent, or violates ski resort policies or rules.

5. Location Sharing and Social Features

5.1 Location Sharing

When you enable location sharing, your real-time location may be visible to selected friends, location data is collected as described in the Privacy Policy, you can revoke sharing permissions at any time, sharing may automatically expire after sessions end, and emergency services may access your location during emergencies.

5.2 Friend Connections

When connecting with friends, you control who can send you friend requests, accepted friends may see your profile information, you can remove friends at any time, some information may remain visible on private leaderboards, and block features prevent unwanted interactions.

5.3 Group Features

When using group coordination, trip creators control participant lists, location sharing may activate automatically for trip participants, group members share visibility of meeting points, you can leave groups at any time, and trip data is shared among all participants.

5.4 Leaderboards and Competitions

Leaderboards are private to friend networks. Only accepted friends see your statistics, you can opt out of leaderboards entirely, we do not create public leaderboards without consent, statistics are based on tracked activities, and we prohibit cheating and manipulation.

5.5 Safety and Responsibility

Location sharing features are tools for coordination, not a substitute for proper communication, not guaranteed to be real-time in poor connectivity, should not replace safety equipment or judgment. Parents are responsible for monitoring children's location sharing, and users are responsible for managing their own safety.

6. Safety and Emergency Features

6.1 Emergency SOS

Emergency features are designed to assist in urgent situations: transmit your location to emergency services, alert designated emergency contacts, share information with ski patrol, and connect with local authorities.

However, they are not a replacement for calling emergency services directly (911, 112, etc.), may not work without network connectivity, accuracy depends on GPS signal quality, and response times depend on external factors.

6.2 Safety Alerts and Warnings

We provide safety information including avalanche danger ratings, weather warnings, trail closures, and hazardous conditions.

Important limitations: Information is provided “as is” from third-party sources, may not be complete, current, or accurate, is not a substitute for official sources. You remain responsible for your own safety decisions. Always check official resort and avalanche forecasts.

6.3 No Liability for Safety Features

SKIMATE IS A NAVIGATION TOOL, NOT A SAFETY DEVICE. We provide safety features as a convenience, but do not guarantee accuracy or availability, are not liable for failures or inaccuracies, cannot guarantee emergency response times, are not responsible for third-party emergency services, and cannot replace proper safety equipment, training, or judgment.

You assume all risks associated with skiing and outdoor activities.

6.4 User Responsibility

You are solely responsible for your own safety and well-being, following ski resort rules and guidelines, using appropriate safety equipment, skiing within your ability level, checking weather and avalanche conditions, informing others of your plans, carrying appropriate emergency equipment, and having adequate insurance coverage.

7. Third-Party Services and Integrations

7.1 Resort Partners

Alpline integrates with ski resort systems to provide live lift and trail status, facility information, booking services, and crowd management data. Resort partnerships are subject to availability and participation, third-party terms and policies, changes or termination without notice, and potential additional fees or requirements.

7.2 Mapping and Navigation

We use third-party mapping services including MapTiler for map rendering, Valhalla for routing, and OpenStreetMap for base data. These services operate under their own terms and licenses, may have limitations or inaccuracies, can change or become unavailable, and are provided “as is” without warranty.

7.3 Health and Fitness Integrations

Connections to Apple Health, Google Fit, Strava, and Garmin are governed by their respective terms of service, require separate authorization, can be disconnected at any time, may share data bidirectionally, and are subject to third-party privacy policies.

7.4 Payment Services

In-app purchases are processed through Apple App Store (iOS) and Google Play Store (Android), governed by their payment terms and refund policies.

7.5 Third-Party Liability

We are not responsible for third-party service failures or errors, changes to third-party services, third-party data practices, integration disruptions, or third-party content or conduct.

8. Payment Terms

8.1 Subscription Plans

Premium subscriptions may be offered with monthly or annual billing cycles, auto-renewal unless cancelled, prices subject to change with notice, different tiers with different features, and free trial periods may be offered.

8.2 Billing and Payment

When you subscribe, you authorize recurring charges, billing occurs on subscription anniversary, payment is through App Store or Google Play, you must maintain a valid payment method, and price increases require advance notice.

8.3 Cancellation and Refunds

Cancellation: Cancel anytime through your App Store or Google Play account. Access continues through current billing period. No refunds for partial periods. Cancellation does not delete your account.

Refunds: Governed by App Store/Google Play refund policies. Generally not provided for partial periods. May be granted for technical issues at our discretion. Contact platform support for refund requests.

8.4 Free Trials

If we offer free trials: valid payment method required, automatically converts to paid subscription, cancel before trial ends to avoid charges, one trial per user, and we reserve the right to verify eligibility.

8.5 Price Changes

We may change subscription prices with notice provided at least 30 days in advance. Changes apply on next billing cycle. You have the right to cancel before increase takes effect. Continued use after increase constitutes acceptance.

9. Intellectual Property Rights

9.1 Alpline's Rights

All intellectual property in Alpline is owned by us or our licensors, including software code and architecture, designs, graphics, and user interface, logos, trademarks, and branding, algorithms and routing logic, documentation and content, and database and data structures. Protected by copyright, trademark, patent, and other intellectual property laws.

9.2 Trademarks

“Alpline” and related marks are trademarks of EXPOMATRIX PROPERTIES LIMITED. You may not use our trademarks without written permission.

9.3 Restrictions

You may not copy or reproduce the Service or software, create derivative works, distribute or sell our intellectual property, remove proprietary notices or labels, use our trademarks without permission, or claim ownership of our intellectual property.

9.4 Feedback and Suggestions

If you provide feedback or suggestions, we may use them without obligation to you, no compensation or attribution required, you grant us unlimited rights to implement, and feedback becomes our property.

9.5 Copyright Infringement

We respect intellectual property rights. If you believe content infringes your copyright, contact our Copyright Agent at copyright@getalpline.com.

9.6 Repeat Infringer Policy

Accounts of repeat copyright infringers will be terminated.

10. Disclaimers and Limitations

10.1 Service “AS IS”

SKIMATE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, including but not limited to merchantability, fitness for particular purpose, non-infringement, title, accuracy or reliability, and uninterrupted or error-free operation.

10.2 No Guarantee of Accuracy

We do not warrant GPS accuracy or precision, map or trail information correctness, real-time data availability, weather forecast accuracy, resort information currency, performance metric precision, or route calculation accuracy.

10.3 Skiing Risks

YOU ACKNOWLEDGE THAT SKIING IS INHERENTLY DANGEROUS AND INVOLVES RISK OF serious injury or death, equipment failure, avalanches and natural hazards, weather-related dangers, collisions with objects or people, and terrain hazards. SKIMATE DOES NOT ELIMINATE THESE RISKS. YOU ASSUME ALL RISKS ASSOCIATED WITH SKIING.

10.4 Technical Limitations

The Service may be subject to limitations and delays inherent to internet and mobile networks, GPS signal interference or inaccuracy, device compatibility issues, battery drain and performance impacts, security vulnerabilities, and third-party service dependencies.

10.5 No Professional Advice

Alpline does not provide professional skiing instruction, medical advice or diagnosis, emergency services, legal advice, or professional route planning. Information is for general purposes only.

10.6 Third-Party Disclaimer

We are not responsible for third-party services, products, or content, websites or applications, resort operations or safety, emergency response services, or mapping or weather data providers.

11. Limitation of Liability

11.1 General Limitations

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKIMATE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR indirect, incidental, consequential, or punitive damages, loss of profits, revenue, or data, loss of use or business interruption, or cost of substitute services. Even if advised of the possibility of such damages.

11.2 Specific Activity Limitations

We are not liable for injuries or death resulting from skiing activities, accidents or collisions, getting lost or disoriented, avalanches or natural disasters, equipment failure, decisions made based on app information, emergency response failures or delays, or third-party acts or omissions.

11.3 Maximum Liability

Our total liability for any claims arising from or related to the Service is limited to the greater of $100 USD or amounts you paid to Alpline in the 12 months preceding the claim. This limitation applies regardless of the legal theory of liability.

11.4 Essential Purpose

These limitations apply even if any limited remedy fails of its essential purpose.

11.5 Jurisdictional Limitations

Some jurisdictions do not allow certain liability exclusions or limitations. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Indemnification

12.1 Your Obligation to Indemnify

You agree to indemnify, defend, and hold harmless Alpline, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against all claims, liabilities, damages, losses, costs, and expenses arising from or related to your use or misuse of the Service, your violation of these Terms, any law or regulation, or third-party rights, content you post or share, your skiing activities and decisions, injuries or damages you cause to others, or your negligence or willful misconduct.

12.2 Process

If we seek indemnification: we will notify you of the claim, you will have control of defense (with our approval of counsel), we may participate in defense at our expense, you may not settle without our written consent, and you will not admit liability on our behalf.

13. Dispute Resolution

13.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@getalpline.com, describe the dispute in detail, provide your desired resolution, and allow 60 days for informal resolution. Most disputes can be resolved this way.

13.2 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.

13.3 Dispute Resolution for UK Users

Court Jurisdiction: Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. You may also bring proceedings in the courts of your country of residence if you are a consumer. We may bring proceedings in your country of residence if you breach these Terms.

Alternative Dispute Resolution: You may also have the right to refer disputes to alternative dispute resolution. EU users may use the European Commission's Online Dispute Resolution platform. UK users may access approved alternative dispute resolution providers.

13.4 Arbitration for Non-UK/EU Users

For users outside the UK and EU, you and Alpline agree that disputes may be resolved through binding arbitration administered by an appropriate arbitration body in your jurisdiction, with a single arbitrator appointed. Each party pays own attorneys' fees unless awarded by arbitrator. The arbitrator's decision is final and binding.

Exceptions: Small claims court actions (within jurisdictional limits), intellectual property disputes, and claims for injunctive relief.

13.5 Class Action and Collective Proceedings

For Non-UK/EU Users: You and Alpline waive the right to participate in class actions, class arbitrations, or representative actions. All disputes must be brought in your individual capacity.

For UK/EU Users: This waiver does not apply. You retain all rights to participate in collective proceedings as permitted under UK and EU law.

13.6 Opt-Out Right (Non-UK/EU Users Only)

Non-UK/EU users may opt out of arbitration within 30 days of first accepting these Terms by sending written notice to EXPOMATRIX PROPERTIES LIMITED, Attn: Arbitration Opt-Out, 23 Tiggall Close, Reading, RG6 7ES, United Kingdom.

13.7 Survival

This arbitration agreement survives termination of your account or these Terms.

14. Termination

14.1 Termination by You

You may terminate your account at any time by deleting your account in app settings, contacting support@getalpline.com, stopping use of the Service, or uninstalling the application. Termination does not cancel paid subscriptions; you must cancel separately through your App Store or Google Play account.

14.2 Termination by Us

We may suspend or terminate your account for violation of these Terms, for fraudulent or illegal activity, to protect other users or the Service, for extended periods of inactivity, or at our discretion with or without notice.

14.3 Effect of Termination

Upon termination, your license to use the Service ends immediately, you must stop using the Service, your account data will be deleted per our Privacy Policy, some data may be retained for legal compliance, provisions that should survive will remain in effect, and no refunds for remaining subscription periods (except as required by law).

14.4 Survival

The following provisions survive termination: User Content licenses, Intellectual Property Rights, Disclaimers and Limitations of Liability, Indemnification, Dispute Resolution, and any provisions that by their nature should survive.

15. General Provisions

15.0 UK Consumer Rights

If you are a consumer in the United Kingdom, you have legal rights under the Consumer Rights Act 2015 and other consumer protection legislation. Nothing in these Terms affects those statutory rights.

Digital Content Rights: Digital content must be as described, fit for purpose, and of satisfactory quality. If digital content is faulty, you're entitled to a repair or replacement. If we can't fix the problem within a reasonable time and without significant inconvenience, you can get some or all of your money back.

Unfair Terms: Any unfair contract terms are not binding on you. Terms must be transparent and prominent. We cannot exclude liability for death or personal injury caused by our negligence.

Distance Selling: You have certain cancellation rights for online purchases under the Consumer Contracts Regulations 2013. These rights apply to in-app purchases where applicable.

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Alpline regarding the Service and supersede all prior agreements.

15.2 Modifications to Terms

We may modify these Terms at any time. Material changes: Notice via email or in-app notification at least 30 days in advance. Minor changes: Posted with updated “Last Updated” date. Continued use after changes constitutes acceptance. If you don't agree to changes, stop using the Service.

15.3 Waiver

Our failure to enforce any provision does not waive our right to enforce it later. Any waiver must be in writing and signed by us.

15.4 Severability

If any provision is found unenforceable, the remaining provisions continue in full force and effect. Unenforceable provisions will be modified to the minimum extent necessary.

15.5 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign or transfer these Terms without restriction.

15.6 No Third-Party Beneficiaries

These Terms are for your and our benefit only. No third party has rights under these Terms, except as expressly stated.

15.7 Force Majeure

We are not liable for delays or failures due to events beyond our reasonable control, including natural disasters, war or terrorism, government actions, internet or telecommunications failures, labor disputes, or third-party service failures.

15.8 Relationship

These Terms do not create a partnership, joint venture, employment, or agency relationship.

15.9 Export Compliance

You agree to comply with all applicable export control laws and regulations, including UK export controls and international sanctions.

15.10 Government Users

If you are a UK government entity or public sector organization, the Service is provided subject to the terms of any relevant framework agreements and procurement regulations applicable to public sector contracts.

16. App Store Specific Terms

16.1 Apple App Store

If you download from the Apple App Store: These Terms are between you and Alpline, not Apple. Apple has no obligation to provide support. Apple is not responsible for the Service. Apple is a third-party beneficiary with enforcement rights.

16.2 Google Play Store

If you download from Google Play: These Terms are between you and Alpline, not Google. Google has no obligation to provide support. Google is not responsible for the Service. You agree to Google Play Terms of Service.

BY USING SKIMATE, YOU ACKNOWLEDGE THAT:

  1. You have read and understood these Terms
  2. You agree to be bound by these Terms
  3. You understand skiing involves inherent risks
  4. Alpline is a tool, not a substitute for safety equipment, training, or judgment
  5. You are solely responsible for your safety and decisions
  6. You release Alpline from liability for injuries or damages arising from skiing
  7. You will use the Service responsibly and lawfully
  8. You have the authority to enter into this agreement
